Inhaltsangabe: Einleitung: Unternehmensübernahmen sind besonders in den 90er Jahren zu einem fast alltäglichen Phänomen geworden. Die Welle der Übernahmen und Beteiligungen wird Wirtschaftsprognosen zufolge auch in den kommenden Jahren weiter anhalten. Allein im Jahr 1998 wurden 2046 Fusionen angezeigt (Vorjahr: 1900) mit einem Volumen von 442 Mrd. DM (Vorjahr: 152 Mrd. DM). Großtransaktionen, wie die Verschmelzung zu Daimler Crysler, Viag/Algroup Holding oder Hoechst/Rhône-Poulenc sind nur einige der bekanntesten und größten Zusammenschlüsse aus dem vergangenen Jahr (Handelsblatt 1999: 16). Besonders vor dem Hintergrund der zunehmenden Globalisierung sehen viele Unternehmen in einer Übernahme die Chance, zukünftig wettbewerbsfähig zu bleiben. Mit der wachsenden Zahl der Fusionen häufen sich aber auch die Fälle, in denen die in den Zusammenschluß gesteckten Ziele nicht oder nur teilweise erreicht werden. Die Planung und Vorbereitung von Übernahmen erfolgt häufig auf rein ökonomischen und finanziellen Grundlagen. Diese Aspekte werden in der hier vorliegenden Arbeit nicht weitergehend behandelt - wohl wissend, daß ohne die detaillierte Prüfung und Auswertung dieser Faktoren eine Fusion unmöglich wäre. Die Verfasserin legt den Schwerpunkt ihrer Arbeit auf den Teilbereich der Mitarbeiterintegration. Diesem kritischen Erfolgsfaktor für die Unternehmensintegration wird - trotz der hohen Übernahmezahlen - oftmals nicht im erforderlichen Maße Aufmerksamkeit geschenkt. Die hier vorliegende Arbeit stellt diejenigen Komponenten ausführlicher dar, die im Rahmen der Mitarbeiterintegration unbedingt berücksichtigt werden sollten. Dazu gehört vor allem der professionelle Umgang mit Kommunikation und Unternehmenskultur. Diese Schwerpunktthemen werden als erfolgskritische Instrumente für die Mitarbeiterintegration herausgearbeitet.
