Inhaltsangabe: Einleitung: Die Welle der Fusionen in der deutschen Unternehmenslandschaft scheint kein Ende zu nehmen. Im Jahre 1999 gab es, mit steigender Tendenz, weltweit 25.000 Zusammenschlüsse mit einem Gesamtwert von 3,4 Billionen Dollar. In den letzten zwei Jahren wurde der Transaktionswert der gesamten letzten Dekade erreicht. Allein in Deutschland waren es 1994 zunächst 611 Übernahmen, 1999 hingegen schon 1.014. Dies entspricht einer Steigerung von 66 Prozent. Das Ausmaß der Konzentrationsbestrebungen in Deutschland lässt sich signifikant am Lebensmittelhandel in der Bundesrepublik erkennen. Hier repräsentierten in 2000 allein die Top 10-Unternehmen einen Marktanteil von nahezu 84 Prozent. Prognostiziert wird bis 2010 eine weitere Umsatzverdichtung, so dass der zuvor genannte Marktanteil dann von lediglich fünf Hauptakteuren erreicht wird. Hierbei wird jede Synergieeffekte versprechende Kombination denkbar sein. Des weiteren steht die Konsolidierung in den meisten Branchen erst noch bevor. Die aktuellsten Studien kommen zum Ergebnis, dass die hochgeschraubten Erwartungen an Mergers and Acquisitions keineswegs erfüllt werden. Branchenübergreifend scheitern etwa 58 Prozent aller Fusionen schon in der Integrationsphase. In einer von Mercuri International durchgeführten Studie gelang nur 44 Prozent der befragten Unternehmen eine Umsatzsteigerung und lediglich 24 Prozent der an der Börse notierten Teilnehmer erreichten eine Steigerung ihres Börsenwertes. Eine detaillierte Ursachenforschung bezüglich des Scheiterns von Fusionen gewann erst in jüngster Zeit an Bedeutung. Wesentliche Faktoren, wie das Verhalten des Marktes und der Einfluss der Nachfrager sowie der Konkurrenten werden vernachlässigt. Aufgrund mangelnder Forschung auf diesem Gebiet sind bisher eher stereotype Erklärungsmuster entstanden. Eine schwache zentrale Managementführung, Kulturdifferenzen oder fehlende Prozessgeschwindigkeit sollen die Ursachen sein, was in aktuellen Studien nicht bestätig
