A relação entre empreendedores e lojistas de shopping centers tem despertado a atenção dos operadores do Direito, desde os primeiros empreendimentos no Brasil, do mesmo modo que em outros países.Pela riqueza que a matéria desperta, os debates têm-se sucedido, a partir da década de 80, trazendo como contribuição ao mundo jurídico incontáveis trabalhos a respeito e jurisprudência consolidada do Superior Tribunal de Justiça acerca de muitas questões decorrentes do vínculo contratual supracitado.Contudo, ainda restam dúvidas a propósito de várias cláusulas contratuais, algumas até provenientes do progresso da tecnologia e outras da influência da economia nesta atividade, que o Autor discorre, com base na causa nessa relação e na finalidade dos centros comerciais, para empreendedores e lojistas. Assim, o Autor apresenta o tema, para, com esteio nos princípios gerais de Direito, contidos desde a Constituição Federal, ao Código Civil, ao Código de Processo Civil, à Lei de Liberdade Econômica, e nos critérios de interpretação sistemática e teleológica, analisar a Lei n° 8.245/91, que rege a Lei de Locações Prediais Urbanas, especialmente o art. 54, caput, que afasta do tipo locação as cláusulas específicas dessa atividade empresarial, e o art. 79, que, de forma didática, determina a aplicação dos dois primeiros diplomas legais acima referidos na interpretação dos contratos a ela subordinados - sempre com base nos princípios constitucionais-, além de vasta doutrina, em que incontáveis dos maiores juristas pátrios e estrangeiros e jurisprudência e experiência de outros países, como Estados Unidos, Espanha, ´França, Itália e Portugal, dão suporte. Dentre as cláusulas analisadas pelo Autor, de acordo com as premissas acima e da força obrigatória das normas gerais contratuais, que devem limitar os direitos de empreendedor e lojistas, em favor do empreendimento, e da organização, mediante administração centralizada do empreendedor, ou por pessoas especializada por ele contratada, como fator essencial à atividade, são realçadas: a) o do caráter empresarial da relação; b) a inclusão de vendas de produtos dos lojistas e de seus franqueadores, feitas através das redes sociais, no cálculo do aluguel percentual e sua fiscalização; c) a possibilidade, ou não, de o empreendedor alterar, unilateralmente, o espaço destinado ao uso do lojista; d) a legalidade, ou não, da cobrança de encargos contratuais dos lojistas em relação a lojas vazias; e) a obrigatoriedade de o empreendedor manter, sempre, o tenant mix do centro comercial competitivo, objetivando atrair a clientela, sob pena de resolução contratual e seus consectários; f) a titularidade do fundo empresarial e a legitimidade, ou não, da cobrança da res sperata a cada renovação contratual; g) o art. 45 da Lei n° 8.245/91, que veda a cobrança de luvas, e sua eventual aplicação às relações contratuais objeto do livro; h) a cobrança de taxa pela cessão do contrato e/ou da empresa detentora do uso do espaço e sua razão jurídica; i) a legitimidade, ou não, do reembolso das despesas de modernização, decoração e paisagismo do centro comercial, como forma de atração da clientela, ao trazerem mais valia ao ponto detido pelos lojistas no shopping center, em vista do conflito entre o caput do art. 54 e seu parágrafo primeiro; j) o interesse geral dos lojistas no sucesso do shopping center em cotejo com a limitação da cobrança de aluguel, encargos e fundo de promoção, denominada CTO (Custo Total Operacional), a alguns.Por ser uma obra que ressalta inúmeros aspectos polêmicos da relação contratual entre empreendedores e lojistas dos shopping centers, que poucos autores se detiveram a respeito e cujas conclusões são copiosamente respaldadas, recomenda-se a leitura desta obra.
