Excerpt from The Opinion of Judge Story: In the Case of William Allen Vs; Joseph, Treasurer of Bowdoin College; Decided in the Circuit Court of the United States, at the May Term at Portland, 1833

Before proceeding to the questions in controversy, it seems necessary to give an outline of the material facts, so that the manner, in, which the points of law, are raised, may be clearly, seen Bowdoin College was establishédin Brunswick, in the, present State of Maine, by an Act of the Legislature of Mass: sachusetts, passed on the twenty-fourth day of June, The Act or Charten of Incorporation, after providing that; there shouli be erected and established a College, &c. To be, under the government and regulation of two certain bodies politic and corporate in the act mentioned, proceeds in the second section to enact1l that certain persons, (naming eleven in number, together With the President and Treasurer' of the College for the time being, he created a body politic by the name of the President and Trustees of Bowdoin College, with perpetual succession. The third section declares; that; the Corporation so created, for the more orderly conducting the business thereof, shall have full. Power'and authority from time to time, to elect a viceepresident and Secretary of the Corporation, and to declare the tenures and duties of their respective ofiices and also to remove any Trustee from the same Corporation, when in their judgment he shall be render ed incapable by age, or otherwise, discharging the duties of his office, or shall neglect or refuse to perform, them, and to fill up all vacancies in, the corporation, 8m. Provided. That the number of Trustees, including the President and Treasurer, shall never be greater thanfthirteen, nor; less than seven. The fourth section, confers on' the corporation the usual powers of corporate bodies, andyamong others the pew; sr to hold real estate, the clear annual income of which shall not exceed The fifth section authorises t m to elect a President, Treasurer, Professors, and rus es and other College officers; to purchase lands, erec and to make all reasonable regulations, and by-laws, not xc pugnant to the laws.
