Die größte Herausforderung besteht darin, dass zwei sehr unterschiedliche Unternehmenskulturen aufeinander treffen. In meiner Hausarbeit werde ich mich mit den Phänomenen von Unterneh-menszusammenschlüssen beschäftigen und ethische Fragestellungen identifizieren, die zu Herausforderungen bei Mergers und Akquisitionen führen können, welche ich am Beispiel DaimlerChrysler erläutere. Zum grundsätzlichen Verständnis erläutere ich den Zusammenhang von Unterneh-mensethik und Unternehmenskultur. Hierbei werde ich in der Unternehmensethik auf das Drei-Ebenen-Modell genauer eingehen, da sich dieses als Analyseinstrument für ethische Fragestellungen und Spannungsfelder zwischen Ist- und Sollzustand eignet. Mit Hilfe der Grundsätze der Unternehmenskultur nach Schein wird transparent, was eine Unternehmenskultur ausmacht, und es schafft die Grundlage für das Verständnis der Post-Merger-Integration, auf die nachfolgend eingegangen wird. Hierbei werde ich das Phasenmodell von Mergers und Akquisitionen erklären, um die kritische Phase nachvollziehbar machen zu können, nachdem generelle Motive und Merkmale von Unternehmenszusammenschlüssen dargestellt wurden. Das Verständnis der Integrati-onsphase bildet zugleich die Grundlage für das Beispiel der DaimlerChrysler Fusion. Vorerst werde ich die Motive sowie den Ablauf der Fusion darstellen, damit man ein genaues Bild zum Vorgehen der Führung bei der Fusion der Daimler-Benz AG und der Chrysler Corporation bekommt. Bei der Fusion von DaimlerChrysler gab es erhebliche Differenzen zwischen den Unternehmenskulturen und damit entstanden Probleme in der Integrationsphase, die zum Scheitern beigetrag
