Inhaltsangabe: Problemstellung: Nach aktuellen Veröffentlichungen des Bundesministeriums für Wirtschaft und Arbeit (2004) ist es keineswegs leichter, ein bereits bestehendes Unternehmen zu übernehmen, als ein neues Unternehmen zu gründen. In mancher Hinsicht ist es geradezu umgekehrt: bei einer Neugründung kann der angehende Unternehmer seinen Betrieb von Anfang an nach seinen eigenen Vorstellungen aufbauen. Er beginnt zwar bei „Null", muss den Markt für sein Produkt oder seine Dienstleistung erst erobern und Beziehungen zu Kunden und Lieferanten aufbauen. Darüber hinaus muss er Mitarbeiter auswählen und ausbilden, kann seine Marktstellung nur langsam festigen und muss sich langfristig einen guten Ruf erarbeiten, um sich auf dem Markt etablieren zu können. Aber er darf mit seinem Unternehmen und mit eigenständiger Ausrichtung Zug um Zug wachsen. Im Gegensatz zur Neugründung eines Unternehmens, also bei der Unternehmensübernahme stehen sowohl der bisherige Unternehmer als auch der Nachfolger keinesfalls vor einer kleineren Herausforderung. Das Bundesministerium für Wirtschaft und Arbeit (2004) bestätigt die bekannte Problematik, dass bei der Unternehmensübernahme der Existenzgründer auf den bestehenden Vorgaben aufbauen muss. Von Anfang an muss er sein Können auf allen Schauplätzen eines bereits gewachsenen Betriebes gleichzeitig unter Beweis stellen. Mittelständische Unternehmen sind in der Regel durch ihre Besitzer geprägt. Wechselt dieser, ändert sich fast alles im und um den Betrieb. Oft gehen gute Kontakte des Seniors verloren und neue müssen erst aufgebaut werden. So gut wie immer muss das Konzept, das Geschäftsfeld des Unternehmens ganz neu bestimmt werden. Dafür wiederum sind nicht selten Forschungs- und Entwicklungsleistungen erforderlich, um neue Produkte zu schaffen oder „eingefahrene" Produkte oder deren Herstellung auf den neuesten Stand der Technik zu bringen.
