About the Book

The act of farting though considered extremely disgusting is an act that brings about huge relief for the individual farting. From experience, the act and/or the art of farting can fall into three categorize. The first is probably the most embarrassing especially where the fart catches up with you in public and someone hears that roaring sound and all eyes turn around to find out who it was that did not have the decency to get out of the room to carry out one of nature's way of relieving the excess gas within your body. The above analogy helps to describe my understanding of Corporate Governance, Risk and Compliance. The book is my personal perspective and experience in setting up the framework and operations of a Governance, Risk and Compliance (GRC) system and aligning the system from being reactive to become proactive in the management of GRC issues. The book is one that explains from a perspective of one who has been long in the trenches, fought the war of perception at the battlefront, answered to the queries of the suspicious, been involved in numerous due diligence exercises where the examiner already believes that an organization for the fact that it operates in an emerging market is guilty before the facts and in all will help provide incredible experience and knowledge in the pros and cons of corporate governance, risk and compliance in an emerging economy all of which has been condensed into a book that is simple to read and easy to understand. C-R-A-P-I-F-A-R-T is term which has been coined to explain operational governance, help members of an organization understand that the onus of effective and efficient corporate governance though lies with the Board of Directors, will however never be fully operational where the battle field soldiers of the organization do not have the right buy in and understanding that their C-R-A-P-I F-A-R-T activities are what assist the Board direct, supervise, advise and guide the strategies which translates to wealth creation for the business and themselves.
About the Author: Uade is a Chartered Accountant and has over 25 years of cognate experience - Consulting, Business development, Banking, Oil & Gas, Energy, Infrastructure Development, Business Process Re-engineering, Finance, Accounting, Auditing and Internal Control and recently retired as General Manager Governance, Risk and Compliance at Sahara Group. Whilst with Sahara Group, Uade was responsible for setting up and managing the Group's Internal Audit, Management Information Systems and Corporate Governance, Risk Management and Compliance systems. Uade was also intensely involved in the development, implementation and management of the Group's power assets (Ikeja Electric, Egbin Power PLC and First Independent Power Limited). Structures developed by Uade and his team were invaluable in the admittance of the Sahara Group into the WEF's (World Economic Forum) PACI (Partnering Against Corruption Initiative) Community. As team lead for Sahara Group, Uade worked to create the needed framework, governance, risk and compliance as well as operational system for a partnership in conjunction with the UNDP's (United Nations Development Programme) SDGF (Sustainable Development Goals Fund) Food Africa Project towards providing employment, eradicating poverty and empowering people (with an emphasis on gender equality and women empowerment). Uade also served as team lead with WEF-PACI coordination department in putting together a program - Re-Building Trust and Integrity in Business - with focus on Nigeria in line with the current stance on anti-corruption in Nigeria and PACI's focus in helping to develop a sustainable program that will help bring together both the public and private sector in the fight against corruption. Uade was Managing Editor of the first ever sustainability report for the Sahara Group in 2015 as well as the 2017 edition, and he successfully spearheaded the publication of the first ever Nigerian Power Sector Sustainability Report for Ikeja Electric and Egbin Power Plc for the 2015 financial year. In addition, he served as Acting Managing Director of the Group's logistics and warehousing operations (Sahara Bulk Storage Facilities Limited). Uade Ahimie is married with 2 daughters.
