Ausgehend von der theoretischen Fundierung der wertorientierten Managementvergütung, ist es das Ziel dieser Arbeit, einen Überblick über die Ausgestaltungsarten aktienbasierter Vergütungsinstrumente zu geben. Im Fokus stehen ausschließlich diejenigen Vergütungsinstrumente, welche an den langfristigen Erfolgszielen eines Unternehmens ausgerichtet sind. Der Zusammenhang zwischen Aktienbeteiligung des Managements und der Unternehmensperformance wird auf Basis existenter empirischer Studien analysiert. Einen ersten Einblick in die theoretischen Erklärungen der Managementvergütung wird bereits im ersten Kapitel gewährt. In Abschnitt 1.2 werden die modelltheoretischen Hintergründe zur Trennung von Eigentum und Verfügungsmacht erläutert, die den Untersuchungsgegenstand der Agency Theorie bilden und die Grundvoraussetzung für Publikumsaktiengesellschaften darstellen. Anschließend werden in Abschnitt 1.3 die aus der Trennung zwischen Eigentum und Verfügungsmacht entstehenden Zielkonflikte zwischen Management und Eigentümer analysiert. Das zweite Kapitel umfasst die rechtlichen Rahmenbedingungen der Managementvergütung. Während sich Abschnitt 2.1 mit den steuer- und handelsrechtlichen Aspekten befasst, werden in Abschnitt 2.2. die aktienrechtlichen Vorschriften erläutert. Abgerundet wird das zweite Kapitel mit den Vorgaben des Deutschen Corporate Governance Kodex. Das dritte Kapitel widmet sich den theoretischen Grundlagen der wertorientierten Managementvergütung.
