"Compliance" bedeutet die Befolgung und Einhaltung von Regeln. Es wird dabei verlangt, dass sich das Unternehmen, seine Organe und Mitarbeiter im Einklang mit dem geltenden Recht verhalten. Weiters ist eine entsprechende Organisation des Unternehmens, welche die Rechtstreue der Mitarbeiter sicherstellt, unerlässlich. Da das Unternehmen auch zur Haftung gezogen werden kann, wenn sich die Belegschaft nicht an die Gesetze hält, sollen im Rahmen einer effizienten Compliance-Organisation entsprechende Kontrollmaßnahmen eingeführt werden, um Haftungsrisiken zu minimieren.
